IF THIS ELECTION FORM IS NOT COMPLETED, SIGNED AND RECEIVED BY THE INFORMATION AGENT BEFORE THE EXPIRATION TIME, THE INSTRUCTION TRANSMITTED BY THIS ELECTION FORM MAY NOT BE COUNTED.

Capitalized terms used herein but not defined herein have the meanings ascribed to them in the Election Procedures to which this Election Form is attached, the Plan of Reorganization and/or the New GTT Term Loan Credit Agreement, as applicable.

Item 1. Participation in the Election Opportunity. The undersigned certifies that (x) as of the Commencement Date, the undersigned is an Eligible Holder of the following amounts of Original EMEA Term Loan Claims constituting principal (excluding, for the avoidance of doubt, accrued and unpaid interest, fees or other amounts) (insert amounts in the boxes below and please indicate whether such Original EMEA Term Loan Claims are subject to one or more unsettled trades), (y) the percentage of its New GTT Term Loans constituting Euro Term Loans for which the undersigned wishes to make a USD Term Loan Election (insert a percentage from 1.00% to 100.00%) is set forth as follows and (z) the undersigned acknowledges and agrees that its allocation of USD Term Loans pursuant to its USD Term Loan Election shall be calculated based on the Exchange Rate (as defined in the New GTT Term Loan Documentation) in effect two (2) Business Days prior to the Effective Date:

For the avoidance of doubt, the principal amount of Original EMEA Term Loan Claims listed in the table above must be no greater than the actual amount of such Eligible Holder’s Original EMEA Term Loan Claims (including on an unsettled trade basis). If the principal amount of Original EMEA Term Loan Claims listed in the table above is greater than the actual principal amount of such Eligible Holder’s Original EMEA Term Loan Claims (including on an unsettled trade basis), the actual principal amount of such Eligible Holder’s Original EMEA Term Loan Claims (including on an unsettled trade basis) shall be used for purposes of determining such Eligible Holder’s USD Term Loan Election.

Item 2. Certification. By signing this Election Form, the undersigned certifies that (x) it understands that the right to participate in the Election Opportunity is subject to all of the terms and conditions set forth herein and in the Election Procedures to which this Election Form is attached, (y) it understands that the Information Agent may share the information contained herein with the Administrative Agent, the Debtors and their respective advisors and (z) if such Eligible Holder’s Original EMEA Term Loan Claims are subject to one or more unsettled trades, such Eligible Holder agrees to provide all trade documentation reasonably requested by the Information Agent, the Administrative Agent, the Debtors and their respective advisors in order to confirm the principal amount of such Eligible Holder’s Original EMEA Term Loan Claims.

THE COMPLETED ELECTION FORM MUST BE RECEIVED BY THE INFORMATION AGENT BEFORE THE EXPIRATION TIME USING THE DELIVERY INSTRUCTIONS BELOW:

The Information Agent will accept an Election Form only if such Election Form is properly submitted to the Information Agent through the Information Agent’s Electronic Portal. To access the Information Agent’s Electronic Portal, visit https://cases.primeclerk.com/GTT, click on the “Submit Term Loan Election Form” section of the website and follow the instructions therein to submit your Election Form electronically. Please do not send hard copies or email copies of the Election Form to the Information Agent.

IMPORTANT NOTICES AND INSTRUCTIONS RELATED TO THIS ELECTION FORM

1. IN ORDER FOR AN ELECTION FORM TO MAKE AN EFFECTIVE USD TERM LOAN ELECTION, SUCH ELECTION FORM BE MUST COMPLETED, EXECUTED AND SUBMITTED TO THE INFORMATION AGENT AS DESCRIBED HEREIN SO THAT IT IS ACTUALLY RECEIVED BY THE INFORMATION AGENT PRIOR TO THE EXPIRATION TIME.

2. Any Election Form received by the Information Agent after the Expiration Time will not be accepted unless the Debtors and the Ad Hoc Lender Group Advisors determine otherwise or as permitted by the Plan of Reorganization. Except as otherwise provided herein, a submission of an Election Form will be deemed made only when the Information Agent actually receives the executed Election Form as described herein. In all cases, Eligible Holders should allow sufficient time to assure timely delivery. No Election Form should be sent to the Debtors or the Debtors’ financial or legal advisors.

3. If you deliver multiple Election Forms to the Information Agent, the last properly executed Election Form received at or prior to the Expiration Time will supersede and revoke any earlier received Election Form.

4. A properly submitted Election Form will result in an Eligible Holder making a USD Term Loan Election only with respect to the principal amount of Original EMEA Term Loan Claims listed in the Election Form. If you hold Original EMEA Term Loan Claims in multiple accounts, you must complete and return an Election Form for each account.

5. Please be sure to sign and date this Election Form. If you are signing this Election Form in your capacity as a trustee, executor, administrator, guardian, attorney in fact, officer of a corporation, or otherwise acting in a fiduciary or representative capacity, you should indicate such capacity when signing and, if requested by the Information Agent or the Debtors, you must submit proper evidence of such capacity to the requesting party.

6. The following Election Forms shall not be counted: (a) any Election Form that is illegible or contains insufficient information to permit the identification of the Eligible Holder; (b) any Election Form not actually received by the Information Agent before the Expiration Time, unless the Debtors and the Ad Hoc Lender Group Advisors determine otherwise or as permitted by the Plan of Reorganization; (c) any unsigned Election Form; (d) any Election Form superseded by a later, timely submitted valid Election Form; (e) any Election Form submitted by a Person that is not an Eligible Holder; and (f) any Election Form submitted by an Eligible Holder who transfers all or any portion of the Original EMEA Term Loan Claims listed therein on or after the Commencement Date and prior to the Expiration Time.
